Terms of Service

1. Acceptance of Terms

By accessing or using APEX Team Manager ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of a school or organization, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

APEX Team Manager is a communication platform designed for high school athletic programs. The Service provides team messaging, calendar scheduling, score tracking, photo sharing, and related features for coaches, school administrators, players, and parents. The Service is available through web browsers and mobile applications.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. School administrators register their schools and invite coaches and staff. Players and parents join through invitations or join codes provided by their coaches.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

For users under the age of 18, a parent or legal guardian must consent to account creation. For teams designated as under-14, only parent accounts are permitted, and parents manage communication on behalf of their children.

4. Acceptable Use

You agree to use the Service only for lawful purposes related to school athletic team communication. You must comply with our Acceptable Use Policy, which is incorporated into these Terms by reference. Prohibited activities include but are not limited to: harassment, sharing inappropriate content, impersonation, unauthorized data access, and commercial solicitation.

5. User Content

You retain ownership of the content you post through the Service, including messages, photos, and other materials ("User Content"). By posting User Content, you grant us a limited, non-exclusive license to store, display, and transmit your content solely for the purpose of providing and improving the Service.

Coaches and school administrators may moderate and remove User Content within their teams. Platform administrators may also remove content that violates these Terms. All direct messages are subject to audit by authorized school administrators for safety and compliance purposes.

6. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

7. Subscriptions and Billing

Certain features of the Service require a paid subscription. Billing is processed through Stripe on a per-team, per-month basis. You may upgrade, downgrade, or cancel your subscription at any time. Refunds are handled in accordance with our refund policy and applicable law. Free accounts are supported by sponsor advertising displayed within the application.

8. Termination

We may suspend or terminate your account if you violate these Terms or engage in activity that is harmful to other users or the Service. School administrators may deactivate user accounts within their school. You may delete your account at any time by contacting your school administrator or our support team.

Upon termination, your right to use the Service will immediately cease. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use or inability to use the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts located in King County, Washington.
